Terms of Service for Mine Contract Pro AI

These Terms of Service ("Terms") govern your access to and use of the Mine Contract Pro AI website, products, and services (collectively, the "Services"), provided by E&E Holdings. By accessing or using the Services, you agree to be bound by these Terms.

1. Agreement to Terms

By using our Services, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these terms.

2. Subscriptions and Payments

  • Billing: We offer a paid subscription plan for access to our Services. By subscribing, you agree to pay the monthly subscription fees. Payments are processed by our third-party payment processor, Paystack.
  • Recurring Payments: Your subscription will automatically renew each month. You authorize us to instruct Paystack to charge your payment method on a recurring basis until you cancel your subscription.
  • Cancellation: You may cancel your subscription at any time through your account settings. The cancellation will take effect at the end of your current billing cycle, and you will not be charged for the subsequent period.
  • Failed Payments: If a recurring payment fails, Paystack will retry the charge according to their dunning schedule. If payment fails after all retries, your subscription will be automatically deactivated, and you will lose access to the Services.
  • No Refunds: Subscription fees are non-refundable.

3. User Accounts

You are responsible for safeguarding your account, so use a strong password and limit its use to this account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above. You are responsible for all activities that occur under your account.

4. User Content

  • Your Content: You retain ownership of all intellectual property rights in your content (e.g., uploaded documents, data entered). We do not claim any ownership rights to your content.
  • Our License to You: We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services.
  • License to Us: By using the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your content solely for the purpose of providing and improving the Services for you. This includes processing your documents with our AI service providers.
  • Responsibility: You are solely responsible for the content you upload and for ensuring you have all the necessary rights to use it with our Services.

5. Acceptable Use

You agree not to misuse the Services or help anyone else to do so. This includes, but is not limited to, uploading illegal material, infringing on the intellectual property of others, or attempting to breach our security measures.

6. Disclaimers

  • "AS IS" Service: The Services are provided "AS IS," at your own risk, without express or implied warranty or condition of any kind.
  • AI Output: The AI-powered features, including document analysis and generation, provide suggestions and information based on the data provided. This output is for informational purposes only and is not a substitute for professional legal, financial, or engineering advice. You are solely responsible for reviewing, validating, and using any AI-generated content. We are not liable for any errors, omissions, or inaccuracies in the AI-generated output.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MINE CONTRACT PRO AI OR E&E HOLDINGS, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

8. Governing Law

These Terms shall be governed by the laws of the Republic of South Africa, without regard to its conflict of law provisions.

9. Termination

We reserve the right to suspend or terminate your access to the Services with notice to you if you are in breach of these Terms, or if your use of the Services could cause real risk of harm or loss to us or other users.

10. Changes to Terms

We may revise these Terms from time to time. The most current version will always be on this page. By continuing to use the Services after revisions become effective, you agree to be bound by the revised Terms.
